Generic drugmaker Viatris is buying Pacira BioSciences for approximately $1.65 billion, or $36.50 per share. The all-cash deal, funded largely from excess cash and short-term borrowing, adds Pacira’s non-opioid pain therapy pipeline and two patent-protected, high-margin medications: Exparel (for post-surgery acute pain) and Zilretta (for arthritic knee pain).
Viatris CEO Scott Smith said the acquisition “is an important step in advancing our strategy to build our innovative medicines business.” The company plans to leverage its global infrastructure to maximize the long-term value of Pacira’s portfolio.
Pacira’s employees, shareholders, and commercial partners will be integrated into Viatris’s operations. Viatris itself is in the midst of a major three-year restructuring that will cut 10% of its 32,000-person workforce and affect R&D, commercial teams, and other departments. The overhaul is expected to cost between $700 million and $850 million but should save the company up to $700 million annually once complete.
The deal strengthens Viatris’s specialty medicines business and positions it as a leader in non-opioid pain management, an area of high unmet need. Combined with Viatris’s investigational fast-acting meloxicam (PDUFA date December 27, 2026), the three therapies create a complementary pain portfolio.
Attention should be on regulatory approval for the meloxicam NDA and on how Viatris manages the integration while executing its workforce reduction. The restructuring’s impact on R&D pipeline continuity and potential divestitures or further M&A to offset opioid settlement costs also warrants monitoring.
