Date
TriGemX Bio, formerly known as Kallyope, announced it will go public through a reverse merger with TCGX, a life sciences-focused SPAC. The transaction provides ~$246 million in gross proceeds, including $86 million from the SPAC trust and $160 million in PIPE financing from investors such as TCGX, Viking Global Investors, and ADAR1 Capital Management. The combined entity will trade on Nasdaq under the ticker “TGEM” with a post-transaction equity value of approximately $600 million.
Proceeds are designated to complete the ongoing phase 3 trial of elismetrep, a TRPM8 channel blocker for acute migraine, and to begin commercial readiness activities in anticipation of a potential U.S. launch. First readout from the phase 3 studies is expected by mid-2027.
The primary affected parties are TriGemX Bio and its newly appointed CEO Jeff Goater, who took the role at the start of the month and is a venture partner at The Column Group. The transaction also involves TCGX, which will see its SPAC merge with TriGemX, and PIPE investors including Viking Global Investors and ADAR1 Capital Management. Additionally, The Column Group, which led a $94 million financing in TriGemX recently, and Novo, which licensed three of TriGemX’s obesity programs last month, have stakes in the company’s trajectory.
Key milestones include the phase 3 readout of elismetrep expected in mid-2027 and the company’s commercial readiness preparations. New CEO Jeff Goater’s strategic direction will be critical, particularly in selecting service partners for U.S. launch activities. The SPAC’s closing timeline and potential additional PIPE investors should also be monitored, as they will influence the company’s cash runway for phase 3 completion and pre-launch activities.
