Nayax Ltd., an Israeli public fintech company, completed its all-cash acquisition of IPS Group, Inc. for $350 million on October 2, 2026. IPS provides a smart-parking SaaS platform across 250,000 spaces in the United States, Canada, the United Kingdom, and Ireland. The purchase was financed with cash on hand and $150 million in new debt from Poalim Tech and First International Bank of Israel.
IPS is expected to generate over $90 million in FY 2026 revenue, with more than 60% recurring, and an Adjusted EBITDA of about $21 million. For Q4 2026, Nayax projects IPS will contribute $20-22 million in revenue and over $5 million in Adjusted EBITDA. The deal is immediately accretive to margins and cash flow.
Nayax gains a market-leading vertical platform and a sizable installed base, positioning it as a leader in smart-parking and curb-side commerce. IPS’s management team, led by CEO Chad Randall, remains in San Diego to ensure continuity for existing customers. Cities, universities, and private operators using IPS now gain access to Nayax’s global payment infrastructure in 120 countries, potentially reducing transaction costs and expanding payment options.
Competitors like SpotHero and ParkMobile face a consolidated player with deeper resources and a proven SaaS revenue model. Vendors selling payments, loyalty, analytics, or integration services should target Nayax’s newly expanded operator base for cross-sell opportunities.
The acquisition signals consolidation in fintech-enabled mobility. The $350 million price tag translates to a 17× EBITDA multiple on a cash-free basis, or roughly 12× when including anticipated run-rate synergies of over $8 million. This premium reflects the strategic value of a vertically integrated smart-parking SaaS platform.
Monitor how Nayax integrates IPS and cross-sells its loyalty and analytics services to the operator base. The combined offering lets cities, universities, and private operators manage parking, payments, and EV charging from a single SaaS stack. Watch for competitor responses, such as SpotHero or ParkMobile pursuing their own acquisitions or partnerships.
Also track whether other fintech firms follow suit by acquiring vertical hardware assets to broaden recurring revenue streams. Private equity may see similar opportunities in unattended-commerce verticals like locker networks or bike-share systems.
