MoonPay has acquired Utah-based North Capital Investment Technology in an all-stock deal valued at over $60 million, according to a person familiar with the transaction. North Capital provides back-end brokerage services and tools to tokenize debt, equity, and other assets.
The acquisition gives MoonPay a portfolio of SEC licenses covering broker-dealer transactions, ATS trading, transfer agent services, and investment advisory. MoonPay CEO Ivan Soto-Wright said the deal helps build the regulatory foundation for mass adoption of tokenized real-world assets.
MoonPay, a fiat-to-crypto infrastructure provider, is the acquirer and will integrate North Capital's licensed brokerage and tokenization capabilities. North Capital's existing clients and partners, including blockchain firm tZero, may see changes as the business is folded into MoonPay's ecosystem.
Competitors in tokenized securities, including Robinhood and Kraken, now face a new licensed entrant with MoonPay's distribution reach.
The deal lands as the SEC allows tokenized stocks under an "innovators exemption," removing regulatory uncertainty for issuers. MoonPay's acquisition positions it to offer tokenized stocks natively on blockchain or via special purpose vehicles holding traditional shares.
Watch how MoonPay operationalizes North Capital's licenses and whether it launches tokenized stock offerings for its existing user base. Also watch for integration updates around North Capital's tZero partnership and ATS initiatives.
Regulatory follow-through on the SEC's innovators exemption will determine how quickly the tokenized equities category scales.
