Telix Pharmaceuticals announced on September 21, 2026, that it will acquire ITM Isotope Technologies Munich for $1.65 billion upfront, with ITM shareholders eligible for up to $700 million in additional contingent consideration tied to FDA approvals and commercial sales milestones for ITM-11. The deal has been approved by Telix's board and ITM shareholders holding more than 90% of ITM's shares, and is expected to close by the end of fiscal year 2026, subject to Telix shareholder approval.
ITM is a Munich-based radiopharmaceutical company with $273 million in 2025 revenue and isotope manufacturing and distribution across 65 countries. The combined company will be led by Telix management, with Telix shareholders owning approximately 76.3% and ITM shareholders approximately 23.7% of the combined entity. ITM's CEO Andrew Cavey will join the combined company, and ITM's pipeline — including phase 3 candidate ITM-11 for GEP-NETs — will be integrated into Telix's portfolio.
The acquisition consolidates two radiopharmaceutical pioneers, creating a vertically integrated company spanning isotope production, manufacturing, and drug development. Key market implications include:
Integration execution will be critical: harmonizing ITM's isotope manufacturing, supply chain, regulatory compliance, and clinical trial systems with Telix's operations. The contingent consideration of up to $700 million depends on FDA approvals for ITM-11 across three indications and net global sales exceeding $150 million in fiscal year 2030. The COMPOSE interim analysis in H1 2027 will be a key regulatory milestone. Vendors in manufacturing, supply chain, regulatory, and clinical data management should engage now to support the combined company's scale-up.
