Labcorp and OPKO Health entered a definitive agreement for Labcorp to acquire select assets of BioReference Health, a subsidiary of OPKO. The deal includes BioReference Health's laboratory testing businesses focused on clinical and women's health testing, urology, corrections, and over 80 patient service centers. Labcorp will also acquire the proprietary FDA-approved 4Kscore Test, which predicts aggressive prostate cancer risk.
Labcorp will pay $722 million in cash at closing (subject to adjustment based on closing business revenues) plus up to $150 million in an earnout tied to 4Kscore revenue. The acquired business is expected to generate roughly $250 million in revenue in the first year after close.
Labcorp's diagnostics division will absorb BioReference Health's regional clinical testing operations and specialty capabilities. OPKO Health retains other assets but sheds this subsidiary. Evercore ISI analysts noted the deal fits Labcorp's strategy of expanding into higher-growth specialty testing, adding women's health and urology capabilities alongside an established clinical testing business.
Customers and providers using BioReference Health services, particularly in urology and corrections, will transition to Labcorp. Vendors selling into Labcorp's diagnostic operations—especially those offering lab informatics, integration tools, revenue cycle management, or commercial analytics—should monitor post-close integration needs.
Operations and services remain unchanged until deal close. SDRs should watch for integration announcements—especially system migrations, PSC branding changes, and vendor onboarding—as these create entry points for solutions that smooth the consolidation. The earnout tied to 4Kscore revenue suggests Labcorp will prioritize commercial scaling, opening opportunities for sales enablement or analytics tools that accelerate test adoption among urologists and primary care physicians.
